Please read these Terms of Service ("Terms") carefully before using the Gridworld website or any products and services ("Services") operated by Gridworld Technologies UK Ltd ("Gridworld", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services

Gridworld provides AI-powered Human-Machine Interface (HMI) software and related services designed for industrial monitoring and control environments. Access to our platform is subject to a separate commercial agreement unless otherwise stated.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

2. Eligibility

You must be at least 18 years of age and authorised to act on behalf of your organisation to use our Services. By using the Services, you represent and warrant that you meet these requirements.

3. Accounts and Access

Where access credentials are provided, you are responsible for maintaining their confidentiality. You agree to notify us immediately at contact@gridworld.ai if you suspect unauthorised use of your account.

We reserve the right to terminate or suspend access to accounts that violate these Terms or applicable law.

4. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of applicable regulations, including UK GDPR and industrial safety standards.
Attempt to reverse-engineer, decompile, or extract source code from any part of our platform.
Introduce malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to systems.
Use automated tools to scrape, crawl, or stress-test our Services without prior written consent.
Resell or sublicense access to the Services without a written agreement with Gridworld.

5. Intellectual Property

All software, algorithms, models, visual designs, documentation, and other materials made available as part of the Services are the exclusive property of Gridworld Technologies UK Ltd or its licensors, protected by UK and international intellectual property law.

These Terms do not grant you any ownership rights. You receive only a limited, non-exclusive, non-transferable licence to use the Services in accordance with these Terms and any applicable commercial agreement.

6. Customer Data

You retain ownership of all operational data, configurations, and content you upload or generate through the Services ("Customer Data"). By using the Services, you grant us a limited licence to process Customer Data solely to provide and improve the Services, subject to our Privacy Policy and Data Use Policy.

7. Disclaimers

The Services are provided "as is" and "as available". Gridworld makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Our AI models are decision-support tools. They do not replace the judgement of qualified operators, engineers, or safety professionals. You remain solely responsible for operational decisions made using our Services.

8. Limitation of Liability

To the maximum extent permitted by law, Gridworld shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to Gridworld in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Gridworld, its officers, directors, employees, and agents from any claims, liabilities, damages, and costs (including reasonable legal fees) arising from your use of the Services or your breach of these Terms.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We may update these Terms from time to time. We will notify existing users of material changes by email or via the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
